Mogul Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions, together with the documents they incorporate by reference — including the Official Contest Rules, applicable Season Rules, Privacy Policy, Responsible Play Policy, Insider Participation Policy, and any promotion-specific terms (collectively, the “Terms”) — form a binding legal agreement between you and ASTN LLC (“Mogul,” “we,” “us,” or “our”). By creating a Mogul account, accessing the Mogul platform, or entering any contest, you accept these Terms. If you do not agree, do not create an account or use the platform.

If these Terms conflict with the Official Rules for a specific contest or Season, the Official Rules control for that contest or Season unless the Terms expressly state otherwise.

2. Eligibility

2.1 Who may use Mogul

  • You must be able to form a binding contract and must provide accurate registration information.
  • You must not be prohibited from using Mogul under applicable law, Mogul policy, the policies of your employer or a governing body, or the applicable contest rules.
  • You must agree to these Terms and any applicable Official Rules.
  • You must satisfy the age and physical-location requirements described in Section 3 to enter Paid Play contests.

2.2 Restricted persons

Mogul may prohibit or restrict participation by directors, officers, and employees of Mogul and its affiliates and their immediate family members or household members, by service providers engaged in the design, administration, or verification of contests, and by other persons who possess confidential or nonpublic information that could affect a contest outcome, including certain studio, distributor, exhibitor, marketing, talent-representation, and data-provider personnel and others connected to an underlying film or its performance (“Insiders”). Specific restrictions are set out in the Insider Participation Policy and applicable contest rules.

2.3 One account per person

You may maintain only one Mogul account unless Mogul expressly authorizes otherwise. Duplicate or coordinated accounts, and any associated entries, promotions, or prizes, may be suspended, closed, disqualified, voided, or reviewed as described in Section 12.

3. Age and Location Requirements

To enter a Paid Play contest, you must (a) meet the minimum age required for Paid Play in the jurisdiction where you are physically located at the time of entry, and (b) be physically present in an approved Paid Play jurisdiction at that time.

Mogul uses geolocation technology to confirm your physical location before permitting entry into a Paid Play contest or other location-sensitive activity. You may not use a VPN, proxy, or other technology or method to disguise, mask, or falsify your physical location, and doing so is a violation of these Terms (see Section 12).

Free Play is available to users outside approved Paid Play jurisdictions, subject to the same account eligibility requirements. Free Play uses virtual currency or credits with no cash value and does not award cash prizes.

4. Nature of the Game

4.1 Skill-based fantasy contests

Mogul offers skill-based fantasy entertainment contests in which users build virtual rosters of motion pictures, actors, and directors and compete against other participants — not against Mogul or an automated house algorithm — based on a pre-established, uniform scoring formula applied to each rostered asset's actual performance relative to an objective baseline set before the contest locks.

4.2 Not a prediction market, futures market, or investment product

Mogul contests are not a prediction market, futures market, wagering exchange, or investment product. Users do not buy, sell, or trade contracts, shares, or other instruments tied to future box-office or other performance; do not acquire an ownership, security, or commodity interest in any film, contract, or right to box-office receipts; and cannot trade, hedge, offset, cash out, or liquidate a roster position after a contest locks. Roster selections are inputs into a fixed scoring system used solely to compare participating users' complete rosters against one another.

5. Free Play and Paid Play

Free Play contests do not require a real-money entry fee, use virtual currency or credits with no cash value, and do not award cash prizes. Paid Play contests require a real-money entry fee and may award cash or other prizes. Paid Play is available only to users who satisfy the age and location requirements in Section 3.

6. Contests, Seasons, and Scoring

6.1 How a contest works

  • Each contest discloses its entry fee (if any), prize values, maximum number of participants, roster requirements, scoring formula, performance baselines, lock time, and any minimum-entry requirement in the applicable contest details.
  • Every participant in a contest receives the same fictional salary budget to assemble a roster within the contest's salary cap and roster requirements.
  • Roster selections are final once submitted before the contest locks, except as expressly permitted by the applicable contest rules.
  • Fantasy points are calculated under the contest's uniform scoring formula after the applicable scoring period.
  • Prizes are awarded to the participant(s) with the highest cumulative roster score(s) as described in the contest details.

6.2 Contest formats

Mogul offers multiple contest formats, including Pick 5 and Pick 7 ranking contests and Biggest Gainer / Biggest Loser contests based on Mogul's proprietary Hype Index, each governed by its own scoring, prize-allocation, and settlement rules as set out in the applicable contest details and Official Rules.

6.3 Seasons

Mogul may group a series of independent contests into a Season. You pay an entry fee only for the individual Paid Play contests you choose to enter; there is no separate fee to participate in a Season. A Season Grand Prize, if any, is awarded as described in the published Season Rules and is established and disclosed in advance without regard to the number of participants or entry fees collected.

6.4 Data, corrections, and contest integrity events

Mogul determines results using the third-party data source(s) and settlement point identified in the applicable contest rules. Mogul may correct a data, scoring, or calculation error, and may postpone, modify, void, or otherwise settle a contest or an affected asset, in accordance with the Official Rules — including where a release date changes, a film is withdrawn, a reporting period changes, reliable results are unavailable, or another event prevents fair scoring.

6.5 Underlying event does not occur

If a film's theatrical release (or other event that a contest or an asset's scoring depends on) is delayed beyond the contest's scoring period, is canceled or indefinitely withdrawn, is moved to a different distribution format (for example, moved to streaming-only or day-and-date release) in a way that prevents scoring under the applicable baseline, or otherwise does not occur or cannot be reliably measured before the contest's settlement deadline, Mogul may, as provided in the Official Rules: (a) postpone the contest's lock or settlement to a new date; (b) void the contest, or void only the affected asset and rescore the remainder of the contest under a stated fallback method; or (c) settle the contest using the last reliable data available, as identified in the Official Rules.

6.6 Voided or canceled contests — refund treatment

Where Mogul voids or cancels a contest in whole under Section 6.5 or Section 6.7, or where a contest fails to meet a disclosed minimum-entry requirement, Mogul will return eligible entry fees to the balance category from which they were deducted (cash entry fees to cash balance; promotional entries or credits as promotional value, not cash), as described in Section 8.2. A void does not entitle you to any prize, and Mogul is not liable for any other loss, cost, or expected winnings arising from a voided or canceled contest.

6.7 Technical failures and platform errors

Mogul contests depend on the availability of the Mogul platform, third-party data feeds, and payment and verification systems, and on the accurate transmission and recording of your roster submission. Mogul is not liable for a lost, incomplete, delayed, or corrupted entry, or for a failure to score or settle a contest on schedule, caused in whole or in part by a website or app outage, server or database failure, software defect, network or connectivity interruption, cyberattack, denial-of-service event, corrupted or lost data, or other technical failure affecting the platform or a third-party data, payment, or verification provider (a “Technical Failure”).

If a Technical Failure occurs during a contest's entry window, materially affects a contest's scoring or settlement, or prevents Mogul from reliably determining results, Mogul may, in its reasonable discretion and as provided in the Official Rules: (a) extend the entry window or lock time; (b) void and refund the affected contest as described in Section 6.6; (c) reconstruct or restore affected entries from available records and proceed with the contest; or (d) take another remedial action disclosed in the Official Rules designed to restore participants, so far as reasonably practicable, to the position they were in immediately before the Technical Failure. Mogul's decision on how to resolve a Technical Failure, made in accordance with the Official Rules, is final.

This Section 6.7 states Mogul's approach to a Technical Failure affecting a specific contest; Sections 17 (Limitation of Liability) and 23 (Force Majeure) separately limit Mogul's liability for a Technical Failure or other disruption more generally.

7. Accounts, Verification, and Prohibited Sharing

You must provide accurate registration information and complete any identity verification Mogul requires, which may include your legal name and date of birth; residential address, email address, and mobile phone number; the last four digits of your Social Security number or other taxpayer-identification information; a government-issued identification document and, when necessary, a selfie or other verification evidence; and additional information needed to verify your identity, payment ownership, source of funds, or account activity.

Your account is personal to you. You may not share your credentials, permit another person to select or submit rosters on your behalf, or use another person's payment method.

8. Deposits, Wallet, and Payments

8.1 Deposits

You may deposit funds into your User Wallet using an available payment method, subject to your account status, identity verification, and payment-provider requirements. Deposit limits, and any changes to them, will be disclosed in the product; current configurable limits are $10 minimum / $10,000 per transfer / $5,000 per day / no platform-wide monthly cap, subject to payment-provider, account, and jurisdiction-specific restrictions.

The payment method you use must be one you own and must match the verified legal name on your account. Mogul may reject or place under review any deposit made with a third-party payment method.

8.2 User Wallet

Your User Wallet reflects your account balance on Mogul and tracks eligible deposits, contest entry fees, refunds, winnings, withdrawals, promotional credits, and adjustments. It is not a traditional bank, checking, or savings account and does not earn interest unless Mogul expressly states otherwise.

An entry fee is deducted from your User Wallet when your Paid Play entry is successfully submitted and is no longer part of your available balance while committed to that contest. If Mogul cancels or voids a contest, eligible entry fees are generally returned to the balance category from which they were deducted; promotional entries or credits may be returned as promotional value rather than cash.

8.3 Chargebacks

If a deposit is reversed or charged back, Mogul may apply the reversal against your available cash balance, which may result in a negative balance until resolved, and may restrict account activity while the matter is under review.

8.4 Linking your bank account through Plaid

Mogul uses Plaid Inc. (“Plaid”) to let you connect an external bank account to your User Wallet for deposits and withdrawals. When you choose to link a bank account, you will be directed to Plaid's connection flow and you authorize Plaid to collect, use, and share information from and about your external account — which may include your login credentials, account and routing numbers, balance, and transaction history — as needed to establish the connection and to process your deposits and withdrawals.

Plaid acts as an independent service provider, not as Mogul's agent, with respect to the data it collects directly from your financial institution. Plaid's collection, use, and disclosure of that data is governed by the Plaid End User Privacy Policy (currently available at plaid.com/legal), which applies in addition to, and separately from, Mogul's own Privacy Policy referenced in Section 22. You should review Plaid's privacy policy before linking an account.

You can review which apps have access to your linked accounts, and disconnect Mogul's access to a linked account, through the Plaid Portal or by contacting Plaid directly, in addition to any in-app option Mogul provides. Disconnecting a linked account may prevent you from depositing or withdrawing funds until you link a replacement account or payment method.

9. Winnings, Withdrawals, and Taxes

9.1 Winnings

Eligible winnings are credited to the winner's User Wallet after official results are available and the contest is scored and settled.

9.2 Withdrawals

Subject to identity verification, settlement status, payment processing, fraud review, and applicable law, you may request withdrawal of eligible funds from your User Wallet at any time, including if you are physically located in a jurisdiction where Paid Play is currently unavailable to you.

9.3 Taxes

Cash and merchandise prizes may be taxable, and you are solely responsible for reporting and paying any applicable federal, state, and local taxes. Mogul does not provide personal tax advice. Mogul will request taxpayer information and issue Form W-2G, Form 1099, or another applicable tax document when required by law, and a merchandise prize will generally be valued for tax purposes as required under applicable tax rules.

10. Promotions and Referrals

Each promotion is governed by its own eligibility requirements, participation steps, reward terms, expiration dates, and restrictions, which are incorporated into these Terms by reference. Promotional value is not withdrawable as cash unless the applicable promotion terms expressly say otherwise. Mogul may withhold or revoke a promotional or referral benefit if you are ineligible, create multiple accounts, submit inaccurate information, abuse the promotion, engage in self-referral or coordinated activity, or otherwise violate the applicable terms.

11. Prohibited Conduct

Without limiting any other provision of these Terms, you agree not to:

  • Create or use more than one account, share account credentials, misrepresent your identity, or use another person's payment method;
  • Engage in collusion, coordinated roster construction, use of automated entry or roster-optimization tools not expressly permitted, scraping, or other manipulation or unfair method of play;
  • Use or disclose confidential or material nonpublic information in connection with any contest, including in violation of the Insider Participation Policy;
  • Engage in payment fraud, chargeback abuse, money laundering, sanctions evasion, or any attempt to disguise the source or ownership of funds;
  • Interfere with, circumvent, or attempt to defeat Mogul's geolocation, identity-verification, scoring, data-feed, or platform-security measures, including through use of a VPN or proxy to disguise your physical location; or
  • Violate any applicable law or the rules of any governing body, employer, or contest applicable to you.

Mogul may investigate suspected violations, and may restrict, suspend, or close an account, and disqualify or void associated entries, promotions, or prizes, in accordance with these Terms and the applicable Official Rules.

12. Account Restrictions, Suspension, and Closure

Mogul may temporarily restrict an account to protect it, verify identity or payment information, investigate unusual or prohibited activity, resolve a payment reversal or negative balance, enforce a responsible-play restriction, or comply with law, and may request supporting documents before restoring access or releasing funds.

You may request account closure through account settings or Customer Support. Before closure, you should withdraw eligible funds and retain any account or tax records you may need. Upon closure, eligible cash funds remain subject to withdrawal, identity and payment verification, offsets for valid amounts owed, fraud or compliance review, and applicable law; promotional credits may be forfeited.

13. Responsible Play

Mogul will provide the responsible-play and self-exclusion tools required by its operating jurisdictions and policies, which may include account-closure and self-exclusion options; during a restriction period, Paid Play entries and deposits may be blocked while eligible withdrawals and records remain available as required.

14. Intellectual Property

The Mogul platform, including its software, design, text, graphics, the Hype Index and other scoring methodologies, and all related intellectual property, is owned by Mogul or its licensors and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, Mogul grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the platform except as expressly permitted.

Mogul contests use trademarks, names, images, and statistics associated with third-party films, talent, and entertainment data for identification and scoring purposes; such use does not imply any endorsement of Mogul by the underlying rights holders.

15. Third-Party Data and Services

Mogul relies on third-party entertainment and performance data providers, and on third-party payment, identity-verification, and geolocation service providers (for example, in connection with payment processing, Mogul may coordinate with providers such as Plaid to investigate a failed deposit). Mogul does not control and is not responsible for the accuracy, availability, or performance of third-party data or services, and results are determined by reference to the controlling data source identified in the applicable contest rules.

16. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE MOGUL PLATFORM AND ALL CONTESTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MOGUL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY THIRD-PARTY DATA USED TO SCORE A CONTEST WILL BE ACCURATE OR AVAILABLE ON ANY PARTICULAR SCHEDULE.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MOGUL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR PARTICIPATION IN ANY CONTEST, EVEN IF MOGUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MOGUL'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF ENTRY FEES YOU PAID TO MOGUL IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

18. Indemnification

You agree to indemnify, defend, and hold harmless Mogul and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the platform, your violation of these Terms, or your violation of any law or the rights of a third party.

19. Dispute Resolution — Binding Arbitration and Class Action Waiver

Except for disputes that qualify for small-claims court or claims for injunctive relief to protect intellectual property or confidential information, you and Mogul agree that any dispute, claim, or controversy arising out of or relating to these Terms, the platform, or any contest will be resolved by binding, individual arbitration administered by [name arbitral body, e.g., AAA or JAMS] under its applicable consumer arbitration rules, rather than in court, except where prohibited by applicable law.

You and Mogul agree that any arbitration will be conducted on an individual basis only, and not as a class, collective, consolidated, or representative action, to the fullest extent permitted by law. You and Mogul each waive any right to a jury trial for any claim not subject to arbitration.

20. Governing Law

These Terms are governed by the laws of the State of [confirm state, e.g., state of incorporation or principal place of business], without regard to its conflict-of-laws principles, except to the extent a mandatory consumer-protection or gaming law of your jurisdiction of residence or physical location applies notwithstanding this choice of law.

21. Modifications to These Terms

Mogul may update these Terms from time to time, including to reflect changes in law, product features, or business practices. Mogul will provide notice of a material change as required by applicable law (for example, by posting an updated version with a new effective date or by other reasonable notice). Your continued use of the platform after a change takes effect constitutes acceptance of the updated Terms. Changes will not apply retroactively to reduce your rights with respect to a contest you have already entered, except as required to comply with law or to correct a data, scoring, or calculation error as described in Section 6.4.

22. Privacy

Mogul's collection, use, and disclosure of your personal information is described in the Privacy Policy, which is incorporated into these Terms by reference. Information collected directly by Plaid in connection with linking an external bank account is separately governed by the Plaid End User Privacy Policy described in Section 8.4, and Mogul's Privacy Policy will describe Mogul's own receipt and use of information Plaid provides to Mogul as the developer of the app you use, consistent with Plaid's privacy policy.

23. Force Majeure

Mogul is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, labor dispute, internet or utility failure, governmental action, or failure of a third-party data, payment, or verification provider. Section 6.7 separately describes how a website, app, or other platform Technical Failure affecting a specific contest is handled, including refund treatment.

24. General Provisions

  • Entire agreement. These Terms, together with the documents they incorporate by reference, are the entire agreement between you and Mogul regarding the platform and supersede any prior agreements on that subject.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • No waiver. Mogul's failure to enforce a provision is not a waiver of its right to do so later.
  • Assignment. You may not assign these Terms without Mogul's consent. Mogul may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices. Mogul may provide notices to you electronically, including by email or through the platform.
  • Relationship of parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Mogul.

26. Relationship to Other Mogul Documents

These Terms incorporate by reference and should be read together with the applicable Official Contest Rules, Season Rules, Privacy Policy, Responsible Play Policy, Insider Participation Policy, and any promotion-specific terms. If these Terms conflict with the Official Rules for a specific contest or Season, the Official Rules control for that contest or Season unless these Terms expressly state otherwise.
